1. Introduction

​

These General Terms and Conditions (hereinafter "T&C") apply to the services provided by Lökös UG (hereinafter "Service Provider"). The T&C apply to all business relationships that the Service Provider enters into with customers (hereinafter "Client").

2. Description of Services

 

2.1) 2D and 3D Technical Drawings: We create detailed 2D and 3D technical drawings that include the necessary technical specifications and dimensions.

 

2.2) Creation of 3D Models: We produce professional 3D models that not only form the basis for the design process but are also suitable for CNC machining and production processes. These models enable precise and efficient manufacturing.

2.3) Rendered Images: We produce high-quality rendered images that assist in the visual presentation of planned objects.

 

2.4) Manufacturing Organization of Metal Parts: We organize and coordinate the manufacturing of metal parts with known partners. The production does not take place directly with us.

 

2.5) Technical Drawings and Documentation: We create technical drawings and complete technical documentation that contain all details of the project.

 

2.6) Product Development Consulting: Participation and consulting in product development processes to assist clients in developing innovative and efficient solutions.

3. Conclusion of Contract

​

A contract between the Service Provider and the Client is established when the Client accepts the General Terms and Conditions (T&C) and confirms the order.

4.Prices and Payment Terms

 

4.1 Access to Digital Content: As long as the Client has not fully paid for the service, we only provide images of the digital content with watermarks. The digital files necessary for production, such as STP, DXF formats, will only be handed over after the invoice has been paid in full and the amount has been received.

 

4.2) Modification of Payment Terms: In the case of continuous cooperation, there is the possibility to modify the payment terms, which will be defined in the individual contract.

 

4.3) Start of Production and Ownership Rights: Production does not begin until the service fee has been paid in full. Until then, the digital content remains the property of the Service Provider. The confidentiality agreement remains in force regardless of the payment status.

 

4.4) Late Payment: If the Client fails to pay the invoice and two consecutive reminders are unsuccessful, the Service Provider is entitled to forward the claim to the appropriate enforcement authority.

5. Contract Modification and Cancellation

​

5.1) Contract Modification: The contract can be modified by a written agreement between the Client and the Service Provider. Each modification must clearly record the changes and is only valid with the signatures of both parties.

 

5.2) Cancellation: The Client can cancel the service within 14 days of contract conclusion without providing any reason. In this case, the Service Provider is obliged to refund any advance payments made. Cancellation after this period may incur a penalty fee, which may be equivalent to the amount of the deposit.

 

5.3) Partial Payment in Case of Cancellation: If the Client cancels the service, but the project is already partially completed, the Client is obligated to pay for the work done so far on an hourly rate basis. This applies to all work that has already started but the overall project is not yet completed.

6. Warranty and Liability

​

6.1) Warranty: The Service Provider guarantees that the services will be provided in the appropriate quality as per the agreement. If the service does not meet the conditions set out in the contract, the Client has the right to request the correction of the error or the re-provision of the service.

 

6.2) Limitation of Liability: The liability of the Service Provider is limited to the amount specified in the contract. The Service Provider is not liable for indirect damages, including lost profits or data loss.

 

6.3) Exceptions: The warranty does not apply to errors or damages resulting from improper use, modifications, or unauthorized interventions by the Client.

 

6.4) Production Deadlines: The Service Provider is not liable for cases where production commissioned by the Client through the Service Provider by third parties is not completed within the specified deadlines. In such cases, the Service Provider assists in communication with the manufacturer, but compliance with the deadlines is not guaranteed.

 

6.5) Quality Issues: Should the Client identify quality problems with the manufactured product, the Service Provider is obligated to forward this to the manufacturer. The handling of quality problems is carried out according to the manufacturer's own warranty procedures.

 

6.5) Quality Issues: If the Client identifies quality problems with the produced product and the production was organized by the Service Provider, the Service Provider is obligated to forward this to the manufacturer. 6.6) Our Expertise: We emphasize that Lökös UG does not deal with engineering or static planning. Our expertise lies in the area of 3D modeling, where we implement plans provided by customers in a 3D modeling program. These completed models are suitable to be passed on to manufacturing companies for production.

 

6.7) Static Calculations: We point out that we do not perform static calculations. If the customer requires static calculations, we recommend contacting an appropriate expert. If needed, we can assist in making contact with such professionals or companies.

 

6.8) Limitation of Warranty: Our warranty is limited to our 3D modeling services. We do not take responsibility for the production processes or their results, as these tasks fall outside the scope of the Service Provider.

7. Confidentiality

​

7.1) Confidentiality Agreement: The Service Provider commits to treating all information provided by the customer confidentially. Should a confidentiality agreement be established between the Client and the Service Provider, the Service Provider is obligated to adhere to the conditions set out therein.

 

7.2) Use as a Reference: If there is no confidentiality agreement, the Service Provider is entitled to use the project as a reference, including the presentation of project details and mentioning the name of the Client. This may include images of the project, descriptions, and other relevant information.

 

7.3) Notification Obligation: If the Client does not wish for their project to be used as a reference, they must explicitly state this at the time of contract conclusion.

8. Changes

​

The Service Provider is entitled to modify the General Terms and Conditions (T&C) from time to time. Changes will be published on the Service Provider's website.

9. Jurisdiction

​

Disputes concerning the T&C and the services provided by the Service Provider are subject to the jurisdiction of Germany.
